As I write this introduction, our Secretariat are hard at work preparing for our next round of events. Registration for the EECC Conference in Krakow in June has been launched and I encourage you to register as soon as possible to take advantage of the early-bird discount. The technical programme promises to be very entertaining for practitioners across all of Europe, not just from the Eastern side.

You will also have the opportunity to meet myself and other members of INSOL Europe at the joint International Restructuring Conference which we hold each year in London with R3; plus for the first time we have been invited to hold a panel at R3's Annual Conference, being held in the wonderful coastal town of St. Andrews in Scotland. Details of both events and our panels can be found below.

This month's Statistics update features a report from Ireland, where the insolvency rate continues to fall. Our INSIDE Story features an interesting update on Ukraine's decision to implement the EU Preventive Restructuring Directive with two alternative bills.

The annual Richard Turton Award competition has been launched and I encourage all younger members who meet the requirements to follow the link below and consider applying. 4th Joint Fraud Conference triumphs again in London

The fourth annual Fraud Conference took place on 29 February, welcoming 160 delegates to the Royal College of Physicians in London. A collaboration between INSOL Europe’s Anti-Fraud Forum, the Fraud Advisory Panel and R3, this year’s theme was “The Future of Fraud: Is Seeing Believing?” with the event bringing together a range of counter-fraud specialists from policy makers to insolvency and asset recovery experts to academics.

The opening keynote by Professor Oli Buckley (UEA) on AI and Deepfakes provided much food for thought, being something of a beginner’s guide to creating voice clones.

Arun Chauhan (Conference Chair) and Frances Coulson (INSOL Europe Vice President) were most surprised to find their voices cloned from brief, publicly available samples. The use of AI by both bad actors and as a tool to combat fraud was explored over the course of the day, with a subsequent session exploring the latter.

A breakout panel facilitated by Bart Heynickx (Altius, Belgium) considered international collaboration across a range of jurisdictions including the UK, Belgium, Netherlands and UAE. Participants included INSOL Europe members Luke Harrison and Ferry Ortiz Aldana. 

During the course of the afternoon, Frances Coulson facilitated an in-depth exploration of the failure of public bodies to behave in a fiscally responsible manner, focussing on the Thurrock Council controversy and its consequences. Penny Dunbabin (Home Office) provided a brief run-through of the new “failure to prevent” guidance, which provided a jumping-off point for a debate chaired by Carmel King (Grant Thornton, UK) on whether the Economic Crime and Corporate Transparency Act and similar legislation are likely to prove effective.

National Insolvency Statistics Update: Ireland

There were 663 Corporate insolvencies in Ireland during 2023. The insolvency rate in 2023 was still lower than in 2019, but closer to pre-pandemic levels. This reflects the impact of cost inflation and higher interest rates on many businesses. Retail, hospitality and construction were the most affected sectors, accounting for over half of the insolvencies. Report by Barry Cahir (Partner, Beauchamps LLP, Dublin, Ireland) and Damien Murran (Senior Managing Director, Teneo, Dublin, Ireland)

SCARP, a process for SMEs to restructure, was used by 33 companies in 2023, with 78% of them saving jobs. SCARP is still under-utilised by business owners and advisors, perhaps due to lack of awareness and ongoing deferral of warehoused tax debt from the pandemic reliefs.
 
Warehoused debt owed to Revenue by 58,152 businesses amounted to €1.8 billion, with 10% of them owing more than €50,000. Businesses currently have until 1 May 2024 to pay or agree a phased payment arrangement, otherwise the debt becomes due and owing, although it is widely anticipated that this deadline may be extended.
 
Personal Bankruptcy Adjudications have been falling rapidly over the last few years as alternative debt solutions are engaged. There were only 39 personal Bankruptcy Adjudications in the first 9 months of 2023, while there were 1,148 new applications for alternative personal debt solutions during the same period. This is a testament to the modernisations of our bankruptcy laws over the last decade.

INSIDE Story: Transposition of the EU Directive into Ukraine Law

On 9 November 2023, the Parliamentary Committee for Economic Development recommended the adoption of the Bill implementing the EU Preventive Restructuring Directive 2019/1023 (“Bill #10143”) at the first reading. The next day, the Cabinet of Ministers of Ukraine presented its own (alternative) bill on the same subject (“Bill #10228”). 

The imminent transposition of Directive 2019/1023 (“PRD”) into Ukrainian law is driven by several factors:

(1)    Ukraine’s attainment of candidate status for EU membership in June 2023 mandates compliance with the PRD as part of the EU acquis; 
(2)    Fulfilling conditions for micro-financial assistance in 2023, crucial during wartime, necessitates legislation aligning with PRD principles to enhance corporate bankruptcy and insolvency regimes, allowing for full debt discharge; 
(3)    Transposition is integral to the Roadmap for Capacity-Building Activities designed to facilitate the implementation of the Code of Ukraine on Bankruptcy Procedures adopted by the Ministry of Justice in September 2023;  and
(4)    The European Commission’s November 2023 emphasis on the imperative of enhancing Ukraine’s bankruptcy legislation further underscores the urgency of the transposition of the PRD. 

It is important to keep in mind that the conditions for providing micro-financial assistance for 2023 required Ukraine to implement the PRD by the end of 2023, and it appears that the country failed to meet that deadline. Given the complexity of preventive restructuring and Ukraine’s unique situation of having to transpose the PRD during wartime, the failure to meet the deadline is not surprising. What remains clear is that the transposition of the PRD will occur sooner or later, and the bills tabled in Parliament provide a certain idea of how the Ukrainian restructuring procedure may ultimately look.

Richard Turton Award 2024: Win free place to Sorrento!

Richard Turton had a unique role in the formation and management of INSOL Europe,
INSOL International, the IPA (English Insolvency Practitioners Association) and R3 (Association of Business Recovery Professionals in the UK). In recognition of his achievements, these four organisations jointly created an award in memory of Richard. 
The 2024 competition is now open for anyone who is a national of a developing or emerging nation; works in or studies insolvency & restructuring law and practice and is under 35 years of age.

The successful applicant will be asked to write a paper of 3,000 words on a subject of insolvency or turnaround agreed with the panel. This paper will be published in summary in one or more of the four Member Associations' journals and in full on their websites. The winner will be invited to attend the INSOL Europe Annual Congress in Sorrento, 3-6 October, expenses paid. Applications deadline: 14 June 2024

INSOL Europe to host panel at R3 Annual Conference, St. Andrews

Registration is now open for the R3 Annual Conference, 1-3 May 2024

R3’s 2024 Annual Conference will take place at the beautiful Fairmont Hotel located in St Andrews. This year’s conference theme ‘Forging global pathways: UK insolvency and restructuring in a post-Brexit world’ will explore global economic trends and the role and shape of the eco-system for insolvency and restructuring in an inter-connected world. The programme will also explore the potential pathways these create for firms and professionals at every stage of their career.

As well as engaging technical sessions there will also be an exciting range of social and networking activities bringing delegates together. These include Highland Games, a welcome reception, gala dinner and Ceilidh. The conference will host around 250 delegates from across the UK’s leading insolvency and restructuring profession.

INSOL Europe President, Giorgio Corno, will be hosting an all-INSOL Europe panel titled 'EU Passports to the right, UK to the left - pathways in EU post-Brexit' on the Thursday afternoon, details of which will be announced on the R3 website soon.

The one-day conference is aimed at all restructuring and insolvency professionals with an interest in cross-border matters.
