Good faith duties in restructuring & insolvency: responding to financial red flags
In times of financial stress, the first warning signs often appear in the numbers: long before a formal restructuring or insolvency is unavoidable. This conference will focus on how to recognize and respond to (financial) red flags in a way that is both commercially effective and consistent with good faith duties. We will look at what acting in good faith requires from boards when distress emerges. We will focus on timing: when financial warning signs become actionable, how proximity to insolvency affects board decision-making, and how directors can demonstrate a good-faith process balancing stakeholder interests while preventing value leakage.
The program will connect key indicators of distress (solvency, liquidity and cash-flow pressure) to directors’ duties in the pre-insolvency phase, including the boundary between responsible management and personal liability. We will also examine how different (national) early warning mechanisms and EU instruments influence directors and discuss what good faith means in restructuring and insolvency across different jurisdictions. The legal and ethical dimensions of acting in good faith will be addressed through interactive case studies on acting early versus acting too late, and the consequences for outcomes and liability.
The event is organized in cooperation with the Young Member Group of INSOL Europe and AIJA. This is our fourth in-person joint event, following the previous editions in Mallorca (2019), Seville (June 2023) and Girona (2025). The seminar will take place in Barcelona, Spain, at the H10 Marina Hotel: an inspiring setting for both the academic program and an engaging social program.
